1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Solution Lab ("Selectic," "we," "us," or "our") concerning your access to and use of the Uniton website (https://uniton.ai) and our AI visibility tracking platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Service Description

Uniton is a self-service AI discovery and visibility platform that helps businesses:

• Track brand visibility across AI search engines (ChatGPT, Perplexity, Claude, Gemini)
• Monitor how AI models describe and position their brand
• Discover which competitors AI recommends
• Measure traffic and conversions from AI sources
• Improve brand awareness in AI-powered discovery
• Analyze AI readiness of websites

We provide a self-service platform only. We do not provide consulting, manual optimization, or enterprise onboarding services.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing:

• A valid email address
• A secure password
• Other information as required during registration

You may also register using Google OAuth authentication.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Providing accurate and current information

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Subscription Plans and Pricing

4.1 Available Plans

Subscription fees are billed monthly in advance. All fees are in U.S. dollars unless otherwise stated. Payment is processed through Stripe, our third-party payment processor.

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel your subscription.

4.3 Price Changes

We reserve the right to change our pricing at any time. We will provide you with at least 30 days' notice of any price increases. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree to a price change, you may cancel your subscription.

5. Credits System

5.1 How Credits Work

Our Service uses a credits-based system:

• Each AI prompt scan consumes 1 credit
• Monthly credit allocations are included with each subscription plan
• Credits reset at the beginning of each billing cycle
• Unused credits do not roll over to the next month

5.2 Additional Credits

You may purchase additional credits as needed:

• Small pack
• Medium pack
• Large pack

Purchased credits are valid for 12 months from the date of purchase.

5.3 Credit Usage

If you exceed your monthly credit allocation, you must purchase additional credits to continue using AI scanning features. We will notify you when you approach your credit limit.

7. Payment and Billing Terms

7.1 Payment Methods

We accept payment via credit card, debit card, and other payment methods supported by Stripe. You must provide valid payment information to subscribe to a paid plan.

7.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

7.3 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail:

• Your access to paid features may be suspended
• We will notify you via email
• You will have a grace period to update your payment information
• After the grace period, your account may be downgraded or terminated

7.4 Taxes

All fees are exclusive of applicable taxes, duties, and similar governmental charges. You are responsible for paying all taxes associated with your subscription.

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through:

• Your account settings in the application
• The Stripe billing portal
• Contacting our support team at hello@uniton.ai

Cancellations take effect at the end of your current billing period. You will retain access to paid features until that time. No partial refunds are provided for unused time in a billing period.

8.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or excessive usage
• Non-payment of fees
• Any other reason at our sole discretion

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data in accordance with our Privacy Policy. We are not liable for any loss resulting from termination.

9. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems to access the Service excessively (scraping, bots)
• Resell or redistribute the Service without authorization
• Use the Service for any unlawful or fraudulent purpose
• Impersonate any person or entity
• Harass, abuse, or harm others

10. Intellectual Property Rights

10.1 Our Property

The Service, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, is owned by Solution Lab and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

10.2 Your Content

You retain all rights to the content you submit to the Service (website URLs, prompts, project names, etc.). By submitting content, you grant us a limited, worldwide, non-exclusive license to use, process, and display your content solely to provide the Service to you.

10.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

11. Service Availability and Modifications

11.1 Availability

We strive to provide reliable service, but we do not guarantee that the Service will be:

• Available at all times without interruption
• Error-free or free from bugs
• Compatible with all devices or browsers
• Free from viruses or harmful components

11.2 Maintenance and Updates

We may perform scheduled or emergency maintenance that temporarily makes the Service unavailable. We will attempt to provide notice of scheduled maintenance when possible.

11.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is subject to their respective terms and privacy policies. We do not endorse or assume any responsibility for third-party services.

13. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of data or results
• Warranties that the Service will meet your requirements or be uninterrupted
• Warranties that defects will be corrected

WE DO NOT WARRANT THAT THE AI ANALYSIS PROVIDED BY THE SERVICE IS ACCURATE, COMPLETE, OR WILL IMPROVE YOUR BUSINESS RESULTS. AI MODELS ARE CONSTANTLY CHANGING, AND PAST RESULTS DO NOT GUARANTEE FUTURE PERFORMANCE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELECTIC INC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Errors in AI analysis or recommendations
• Actions taken based on Service data
• Third-party conduct or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Solution Lab, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data submitted to the Service

16. Dispute Resolution

16.1 Informal Resolution

If you have a dispute with us, please contact us at hello@uniton.ai and attempt to resolve the dispute informally. We will work in good faith to resolve any disputes.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in the United States for the resolution of any disputes.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Solution Lab regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.

17.5 Survival

Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, and indemnification) will survive termination of these Terms.
